Terms of Service

1. Acceptance

By creating an account or using Nudge.Notes (the "Service"), you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy. If you do not agree, do not use the Service. The Service is operated by [Company / Operator name] ("we", "us").

2. The service

Nudge.Notes is a task-management service with shared groups, automatic daily rollover, deadlines, and a kiosk display mode. We may add, change, or remove features at any time. We will give reasonable notice of material changes by email or in-app.

3. Accounts

You are responsible for the security of your account credentials and for all activity under your account. You must be at least 16 years old, or the age of digital consent in your jurisdiction, whichever is higher. You agree to provide accurate registration information and keep it up to date.

4. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms. Serious or repeated violations may result in suspension or termination.

5. Subscriptions, billing & auto-renewal

Paid plans (Personal Pro, Shared Plan) are billed in advance and renew automatically at the end of each billing period (monthly or yearly, as you select) until you cancel. You can cancel at any time in your billing settings; cancellation stops future renewals and access continues until the end of the current paid period. All prices exclude applicable taxes, which Stripe adds at checkout. Free trials, where offered, convert to paid plans automatically unless cancelled before the trial ends.

7. Your content

You retain ownership of all task content you create. You grant us a worldwide, royalty-free, non-exclusive licence to host, store, transmit, back up, and display that content solely as needed to operate the Service for you and the people you share groups with. You are responsible for ensuring you have the right to upload any content you submit.

8. Shared groups

When you join or are invited to a group, group managers can see content you post into that group, manage membership, and remove content. Do not post personal information into shared groups that you would not want other group members to see.

9. Termination & suspension

You may delete your account at any time from Settings → Data & Privacy. We may suspend or terminate accounts that violate these Terms or the Acceptable Use Policy, that pose a security, legal, or payment risk, or that are inactive for an extended period. Where reasonable we will give notice and an opportunity to remedy first; serious violations are actioned immediately.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not guarantee that the Service will be uninterrupted, error-free, or that it will meet every requirement.

11. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amounts you paid us in the 12 months preceding the claim, or (b) USD 50. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or goodwill. Nothing in these Terms limits liability that cannot be limited under applicable law (for example, death or personal injury caused by negligence, or fraud).

12. Indemnity

You agree to indemnify and hold us harmless from claims arising out of your violation of these Terms, your content, or your misuse of the Service, except to the extent the claim is caused by our own breach or negligence.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced by email or in-app at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing law & disputes

These Terms are governed by the laws of [governing law jurisdiction]. Disputes will be resolved in the competent courts of that jurisdiction, unless mandatory consumer-protection law in your country of residence gives you the right to bring proceedings locally.
